Wednesday, 23rd November 2011 by Marieke BreijerClifford Chance LLP and Machado, Meyer, Sendacz e Opice Advogados have acted on behalf of Brazilian manufacturing group Petropar in buying the hygiene division of Fiberweb, a UK company which produces nonwoven fabrics for products ranging from diapers to roof materials.

Fiberweb was represented by Baker & McKenzie LLP in the US$286 million deal, which was announced on 11 November, and sees Petropar expand its operations beyond the Americas.

Fiberweb’s hygiene division, which produces disposable hygiene products such as baby diapers, wipes and other home care products, has manufacturing sites in Sweden, Germany, Italy, China and the US, and both parties had lawyers from various offices working on the case. Clifford Chance says its core team worked from São Paulo with Machado Meyer, but also drew on lawyers from its offices in Frankfurt, Milan, New York, Washington, DC, Shanghai, Amsterdam and London.

Baker & McKenzie says its team was led from London, but also included lawyers based in Germany, the Netherlands, Italy, Sweden, the US and from its Brazilian affiliate, Trench, Rossi e Watanabe Advogados.

The acquisition comes two years after Petropar and Fiberweb set up a joint venture, FitesaFiberweb, which - with manufacturing sites in the US and Mexico - became the second-largest producer of non-woven fabrics in the Americas. Petropar assumes that company’s debt through this acquisition.

Baker & McKenzie and Trench Rossi also advised Fiberweb in that deal, while Petropar was represented by Gibson, Dunn & Crutcher LLP in the US and Pinheiro Neto Advogados in Brazil.
