Lobo & de Rizzo Advogados and Machado, Meyer, Sendacz e Opice Advogados have advised on a deal between Vinci Partners and Burger King, which will see the restaurant chain expand rapidly in Brazil.

The joint venture was signed on 14 June, and sees Vinci, a local private equity firm, become the restaurant chain′s master franchisee.

Machado Meyer and in-house counsel advised Burger King, while Lobo & de Rizzo advised Vinci locally and Wachtell, Lipton, Rosen & Katz acted as counsel in the US.

Rodrigo Delboni Teixeira, partner at Lobo & de Rizzo, says the deal went beyond a common joint venture: "There were intense discussions on the operational agreements, involving matters like requirements and approvals for opening restaurants."

"The interesting thing was to work closely with Wachtell to form a single deal team to advise Vinci," he adds.

Júlia Coimbra was part of the Machado Meyer team representing Burger King, and found bringing the "innovative" Burger King model to Brazil fascinating.

"Our challenge was to find equilibrium within both the corporate and commercial agreements, so that the new joint venture would receive powers to carry out its activities aimed at reaching aggressive targets, but keeping Burger King′s knowledge and standards that have been successful worldwide."

The key target is to open around 900 restaurants in Brazil.

The deal comes just months after another Brazilian private equity firm, 3G Capital, paid US$4 billion for the burger chain. In that deal, Burger King took counsel from Skadden, Arps, Slate, Meagher & Flom LLP and Holland & Knight LLP, while 3G relied on Kirkland & Ellis LLP.
