Machado, Meyer, Sendacz e Opice Advogados has helped oil services provider Lupatech make a private share placement worth 700 million reais (US$380 million) and sign an agreement to acquire San Antonio International’s Brazilian arm, which will make the company the largest oil and gas services provider in Brazil.
Barbosa Müssnich & Aragão provided counsel to Brazil-based
GP Investments, the owner of the funds which control San Antonio International.
The deal was signed on 5 April.
Brazil’s development bank, BNDES, Petros – the pension fund owned by Petrobras
– and GP Investments have subscribed to Lupatech shares worth a total of US$190
million.
Lupatech agreed to pay US$81 million for San Antonio Brasil, of which US$27
million was paid for with equity.
Through the deal Lupatech will gain control of San Antonio Internacional
do Brasil Serviços de Petróleo, Lochness Participações and Sotep Sociedade
Técnica de Perfuração.
