Pérez Alati, Grondona, Benites, Arntsen & Martínez de Hoz (h) convened the Latin American team of legal advisors acting for private equity fund DLJ South American Partners in its acquisition of a 25 per cent stake in Spanish publishing company Santillana de Ediciones.

The firm, which is a part of a informal network of Latin American law firms connected to Spain′s Cuatrecasas, Gonçalves Pereira, called on Machado, Meyer, Sendacz e Opice Advogados in Brazil and Creel, García-Cuéllar, Aiza y Enríquez, SC in Mexico, both also part of that network.

Cuatrecasas itself was also called in to advise DLJ, with Cleary Gottlieb Steen & Hamilton LLP acting as its US counsel. Consortium Centro America Abogados – Honduras, along with Dutch firm Loyens & Loeff completed the team.

Pérez Alati partner Diego Serrano Redonnet says, ′The diversity of jurisdictions where Santillana operates and the tight schedule represented important challenges for all lawyers involved. In addition, we had to devise with our colleagues of Cuatrecasas creative ways to implement the structure desired by DLJ and Promotora de Informaciones for its private equity investment in preferred stock.′

Santillana′s owner, Spanish publishing group Promotora de Informaciones, retained Madrid-based Cortés Abogados.

While Pérez Alati, Cuatrecasas and Cleary Gottlieb worked on structuring the deal, Machado Meyer, Creel García-Cuéllar, and Consortium handled tax and antitrust matters, as well as overseeing the due diligence of Santillana′s assets in their respective countries.
