Souza, Cescon, Barrieu & Flesch Advogados has helped publicly traded Brazilian pharmaceuticals wholesaler Profarma buy local chain Drogaria Rosário.

Drogaria Rosário´s previous owners, pharmaceutical retailers Brasil Pharma and Rede Nordeste de Farmácias, hired Machado, Meyer, Sendacz e Opice Advogados.

Profarma agreed to pay US$54 million for the drugstore chain. The acquisition will be paid for in two instalments; one was paid in September and the other will take place 36 months after closing. 

The purchase also includes another drugs distributor, Centro Oeste Farma Distribuidora de Medicamentos, which was previously a subsidiary of Brasil Pharma.

The sale, which was agreed to on 25 September, remains subject to approval from Brazil´s antitrust enforcer.
