Brazil's Souza, Cescon, Barrieu & Flesch Advogados and Machado, Meyer, Sendacz e Opice Advogados have helped agree the takeover of generic drug maker Laboratório Neo Química for 1.3 billion reais (US$744 million).
 
Consumer goods producer Hypermarcas turned to regular counsel Souza Cescon in its bid for Neo Quimica, which retained Machado, Meyer, Sendacz e Opice Advogados.
 
The deal, announced yesterday, will see Hypermarcas pay 687 million reais over three cash installments. Neo Química's controllers, the Limírio Gonçalves family, will also receive a 7.3 per cent stake in Hypermarcas.
 
Cláudio Bérgamo, Hypermarcas's CEO, says the company pipped US-based Pfizer, the largest pharmaceutical company in the world, to the post, as it had also expressed some interest in Neo Química.
 
Hypermarcas will add Neo Química's products, which include the painkiller Lisador and hangover cure Engov, to its own line of over-the-counter medicines, making it the fourth-largest player in the country's pharmaceutical sector. The group, which also sells cosmetics, toiletries and food, has spent 2 billion reais on acquisitions this year, including the Jontex and Olla condom brands and Pom Pom nappies.
