Trench, Rossi e Watanabe Advogados has assisted reinsurer Swiss Re in buying Brazilian insurance company UBF Seguros after five months of negotiations.

Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados advised UBF Seguros in the transaction, which was disclosed on 28 September and is still subject to approval from Brazil′s insurance regulator, Superintendência de Seguros Privados (SUSEP).

Swiss Re bought 55 per cent of the company from the US group Radian, represented by TozziniFreire Advogados, and Brazil′s Rio Bravo Investimentos, which hired Machado, Meyer, Sendacz e Opice Advogados.

Pinheiro Guimarães - Advogados provided counsel to the International Finance Corporation (IFC), which joins Swiss Re in a further US$40 million investment in UBF Seguros, making the IFC a minority shareholder.

Trench Rossi has been counsel to Swiss Re since the beginning of the project in 2009 and has designed the operation′s corporate and tax structures, as well as providing assistance in the negotiations and the drafting of legal documents.
