Machado, Meyer, Sendacz e Opice Advogados and Pinheiro Neto Advogados have helped Japan’s Mitsubishi and the Austrian arm of Germany′s Tchibo purchase stakes in Brazil’s Ipanema Coffees, one of the world’s biggest coffee producers.
Machado Meyer advised Mitsubishi in its acquisition of a 20 per cent interest in the
coffee company, while Pinheiro Neto helped Tchibo, which already produces and
distributes coffee in several countries, snap up a 16.5 per cent stake. Ipanema
Coffees turned to Barbosa Müssnich & Aragão for the
deal, which is of undisclosed value and closed on 28 March after the agreement
was signed in November last year. Barcellos Tucunduva Advogados, Von Adamek,
Mordjikian, Kajima e Dal Secco Advogados and Nunes Pereira Advogados provided
counsel to the selling shareholders: ML Participações, a local company owned by
the family which founded Ipanema Coffees, Brazilian investment fund Paraguaçu
Participações and Norwegian coffee roaster Friele.
The buyers made a direct capital contribution by subscribing to a capital
increase in Ipanema Coffees and by acquiring a portion of the sellers’ shares
in Ipanema Coffees. BM&A partner Henrique Beloch says that this represented
one of the transaction’s more complicated aspects, alongside the fact that “it
involved multiple parties and shareholders, from four jurisdictions and two
different antitrust approvals.”
